The terms that apply when you use senthaitool.com, request product information or quotations, and enter into a transaction with Senthai Cemented Carbide Tools (Thailand) Co., Ltd.

A request or quotation is not an accepted order unless SENTHAI confirms it in writing.

Important: Product availability, final specifications, pricing, currency, payment, production, delivery, warranty and claims are confirmed in the written quotation, order confirmation or contract for the relevant transaction. If a transaction document conflicts with these website Terms, the transaction document controls for that transaction.

1. About These Terms

These Terms of Service (“Terms”) govern access to and use of senthaitool.com, including its content, contact forms and quotation-request features. The website is operated by Senthai Cemented Carbide Tools (Thailand) Co., Ltd. (“SENTHAI”, “we”, “us” or “our”).

By using the website, you agree to these Terms. If you submit a request on behalf of a company or other organisation, you confirm that you are authorised to provide the information and communicate on its behalf. If you do not agree to these Terms, please do not use the website.


2. Relationship Between Website Terms and Transaction Documents

These Terms provide general rules for the website and related business communications. They do not by themselves establish all commercial terms for a purchase.

Any quotation, pro forma invoice, order confirmation, technical approval, drawing approval, purchase agreement or other written document accepted by the parties may contain transaction-specific conditions. Those written conditions control the relevant transaction to the extent they differ from these Terms. A buyer’s additional or conflicting terms do not apply unless SENTHAI expressly accepts them in writing.


3. Permitted Website Use

You may use this website for lawful business information, product research and communication with SENTHAI. You must not:

  • Use the website in violation of applicable law or another person’s rights.
  • Attempt to gain unauthorised access to accounts, systems, data or restricted areas.
  • Introduce malware, harmful code, automated spam or an unreasonable load on the website.
  • Scrape, reproduce or commercially exploit website content in a way that infringes intellectual-property rights.
  • Submit false, misleading, unlawful or unauthorised information, drawings or materials.

We may restrict or suspend access when reasonably necessary to protect the website, our users or our legal rights.


4. Website and Product Information

We aim to keep website content useful and accurate, but website descriptions, photographs, drawings, dimensions, weights, applications and other information are general reference materials unless a written transaction document states otherwise. Website content may be updated without notice.

Final product configuration, material, grade, tolerance, mounting pattern, performance requirement and acceptance criteria must be confirmed in the relevant quotation, approved drawing, order confirmation or contract. Images may show examples or related products and may not represent the exact item supplied.


5. Inquiries and Quotations

Submitting a form, email, drawing, sample description or quotation request does not create an obligation for either party to buy or sell. A quotation is an invitation to place an order on the stated terms and is valid only for the period, scope and assumptions specified in that quotation.

Unless we expressly state otherwise in writing, we may revise or withdraw a quotation before accepting an order. You are responsible for reviewing the quotation and notifying us promptly of any error or omission.


6. Orders and Order Acceptance

An order becomes binding on SENTHAI only when we accept it in writing or otherwise enter into a written contract with the buyer. An automated website or email acknowledgement only confirms receipt and is not order acceptance.

We may request technical, commercial, compliance or credit information before accepting an order. We may decline a request or proposed order where we cannot confirm requirements, capacity, compliance, payment arrangements or other necessary conditions.


7. Pricing, Currency, Taxes and Payment

The applicable price, currency, quotation validity, payment schedule, bank charges, taxes, duties, freight and other costs are those stated in the relevant written quotation, order confirmation or contract. Unless a written transaction document expressly includes a charge, no assumption should be made that it is included.

Payment must be made to the account and according to the instructions shown in an authentic SENTHAI transaction document. If payment instructions appear to change, verify them with your established SENTHAI contact before sending funds. SENTHAI is not responsible for payment sent to an unauthorised account because of fraud outside our reasonable control.


8. Custom and OEM Requirements

For custom, replacement, private-label or OEM work, the buyer is responsible for providing accurate and complete requirements, including applicable dimensions, mounting information, drawings, samples, part references, operating conditions, quantities, packaging instructions and acceptance criteria.

SENTHAI may prepare or revise a drawing or specification for approval. Production may rely on the version approved in writing by the buyer. Unless SENTHAI expressly agrees to provide design or engineering services, our review does not transfer responsibility for the buyer’s equipment selection, system design, installation or intended use.


9. Buyer-Supplied Drawings, Samples and Materials

When you provide a drawing, sample, specification, trademark, label, data or other material, you confirm that you have the right and authority to provide and use it for the requested purpose. You grant SENTHAI permission to use it as reasonably necessary to review the request, prepare a quotation, manufacture an accepted order and maintain transaction records.

Physical samples and materials are handled according to any arrangements confirmed in writing. Do not send unique, hazardous, controlled or irreplaceable items without first obtaining written instructions from SENTHAI.


10. Production and Delivery

Production and delivery dates are estimates unless a written contract expressly states that a date is guaranteed. Timing may depend on technical approval, receipt of payment, material availability, production capacity, inspection, export documentation and logistics.

The delivery term, shipping method, destination, transfer of title, transfer of risk, packaging and responsibility for freight, insurance, customs, import clearance and related charges are determined by the applicable written transaction documents. General information may also appear on our Warranty & Shipping page, but order-specific written terms control.


11. Inspection, Non-Conformity and Claims

The buyer should inspect delivered products promptly and preserve the packaging, labels and relevant evidence if a shortage, visible damage or suspected non-conformity is identified. Notice should be given without undue delay and within any period stated in the applicable transaction documents or required by law.

A claim should identify the order and affected products and include reasonably available photographs, measurements, quantities, batch or package information and a description of the issue. Products should not be returned, altered, installed, destroyed or disposed of while a claim is under review unless SENTHAI gives written instructions or safety requires immediate action.


12. Warranty, Returns, Changes and Cancellations

Any warranty for a product is limited to the written warranty terms applicable to that order. Website content and preliminary discussions do not create an additional warranty. General information on manufacturing defects, exclusions and the claims process may be provided on our Warranty & Shipping page.

Order changes, cancellations, returns, replacements, credits or refunds require SENTHAI’s written approval and are subject to the applicable transaction documents and law. Custom-manufactured, used, installed, modified or buyer-specific products may not be returnable except where a non-excludable legal right applies or SENTHAI agrees otherwise in writing.


13. Intellectual Property

The website and its original text, graphics, layout, trademarks, photographs and other content are owned by SENTHAI or used with permission and are protected by applicable intellectual-property laws. You may view and make reasonable internal business use of website content, but you may not republish, sell, license, modify or create misleading associations with SENTHAI without written permission.

Each party retains ownership of intellectual property it owned or developed independently of a transaction. No transfer or licence is implied merely because information, a quotation, drawing review or product is provided. Any special ownership or use rights for custom work must be stated in a written agreement.


14. Confidential Information

Website use alone does not create a non-disclosure agreement. If confidential technical or commercial information will be exchanged, the parties should identify it appropriately and, where needed, enter into a separate written confidentiality agreement.

When transaction documents impose confidentiality obligations, those obligations control. We may retain records as required for legal, security, backup, accounting or contract-administration purposes.


15. Third-Party Services and Links

The website may link to or use third-party websites, translation tools, form-security services, social platforms or other services. Third parties operate under their own terms and policies. We do not control and are not responsible for third-party content, availability, security or practices.

16. Force Majeure

To the extent permitted by applicable law and the relevant transaction documents, neither party is responsible for delay or failure caused by events beyond its reasonable control. Such events may include natural disasters, severe weather, fire, epidemic, war, civil disturbance, government action, embargo, sanctions, transport disruption, utility or communications failure, labour disruption, material shortage or supplier interruption.

The affected party should provide reasonable notice when practicable and take reasonable steps to reduce the effect of the event.


17. Disclaimers and Limitation of Liability

The website is provided on an “as available” basis for general information. To the maximum extent permitted by applicable law, SENTHAI does not guarantee that the website will always be uninterrupted, error-free, secure or suitable for every purpose.

Liability relating to a product or transaction is governed by the applicable written transaction documents and mandatory law. To the maximum extent permitted by law, neither party is liable under these website Terms for indirect, incidental, special or consequential loss arising solely from website use. Nothing in these Terms excludes or limits liability, remedies or rights that cannot lawfully be excluded or limited.


18. Compliance, Import and Export

Each party is responsible for complying with the laws and regulations applicable to its role in a transaction, including import, export, customs, sanctions, anti-bribery and end-use requirements. The buyer must not request, purchase, transfer or use products in a manner prohibited by applicable law.

SENTHAI may request end-user, destination, ownership, payment or other compliance information and may suspend or decline a transaction where reasonably necessary to comply with law or manage compliance risk.


19. Governing Law and Disputes

The governing law and dispute-resolution process for a transaction will be those stated in the applicable quotation, order confirmation, purchase agreement or other written contract accepted by the parties. We do not use this website page to replace transaction-specific legal terms that require commercial approval.

If no transaction document applies, the governing law and competent forum will be determined under the mandatory conflict-of-laws and procedural rules that apply to the circumstances. Nothing in these Terms limits mandatory legal rights that cannot be waived.


20. Changes to These Terms

We may update these Terms when our website, services, business practices or legal requirements change. The revised version will be posted on this page with an updated date. Changes apply prospectively to website use after publication and do not retroactively alter an accepted transaction unless the parties agree in writing or applicable law requires otherwise.
